A share purchase agreement for a total of 1,356,462 shares in L-KONZEPT Holding AG has been concluded between the main shareholders TRITON Beteiligungsgesellschaft mbH, L-K Beteiligungs AG, GCI Management Consulting GmbH and Mr. Raphael Schön, on the one hand, and CG Fam GmbH, Berlin, on the other. The transfer of the shares in question will take place after certain conditions precedent have been met. The stake acquired corresponds to 67.82% of the share capital.

CG Fam GmbH is managed by Mr. Christoph Gröner, main shareholder of the Gröner Group.

In connection with the transaction, L-KONZEPT Holding AG acquired a majority stake in the „Wohnen an der Strunde“ project, Bergisch Gladbach, from the Gröner Group and restructuring measures were implemented. Consideration is being given to contributing further projects to L-KONZEPT Holding AG by way of a non-cash capital increase. It is intended that the management of L-KONZEPT Holding AG will be expanded to include additional persons from the Gröner Group.
